Terms of Service

1. Acceptance of Terms

By accessing or using ZETRAX.app (the "Service"), you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and ZETRAX Technologies Inc. ("ZETRAX," "Company," "we," "us," or "our").

If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms. If you do not agree to these Terms, you may not use the Service.

2. Accounts

To access most features of ZETRAX, you must create an account. When creating your account, you agree to:

• Provide accurate, current, and complete information
• Maintain the security of your password and promptly notify us of any breach
• Accept responsibility for all activities that occur under your account
• Not create accounts for the purpose of abuse, spam, or circumventing limitations

You must be at least 13 years old (or 16 in the EU) to create an account. Accounts are personal and non-transferable unless you have an enterprise plan with seat transfer provisions.

3. License Grant

Subject to your compliance with these Terms and payment of any applicable fees, ZETRAX grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes.

You may not sublicense, resell, or otherwise exploit the Service or its content for commercial purposes without our prior written consent, except as expressly permitted through our API Terms or a separate enterprise agreement.

4. Acceptable Use

You agree not to use ZETRAX to:

• Generate content that is illegal, harmful, threatening, abusive, defamatory, or violates any third party's rights
• Create prompts designed to generate non-consensual intimate imagery, child sexual abuse material, or other exploitative content
• Attempt to reverse engineer, decompile, or disassemble any part of the Service
• Use automated means to access the Service at a rate that unreasonably burdens our infrastructure
• Interfere with or disrupt the integrity or performance of the Service or third-party data contained therein
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Use the Service to train competing AI models without explicit written consent from ZETRAX

Violations of this section may result in immediate account suspension or termination, at our sole discretion.

5. Intellectual Property

5.1 ZETRAX IP

The Service, including all software, algorithms, designs, text, graphics, and other content provided by ZETRAX, is owned by ZETRAX Technologies Inc. and is protected by copyright, trademark, patent, and other applicable laws. These Terms do not grant you any rights to ZETRAX's intellectual property except as expressly stated herein.

5.2 Your Content

You retain full ownership of the prompts you create using the Service. By using ZETRAX, you grant us a limited, royalty-free license to process and store your prompts solely for the purpose of providing and improving the Service. We will never use your private prompts to train our models or sell them to third parties.

6. Payments & Billing

Certain features of ZETRAX require a paid subscription ("Pro Plan" or "Enterprise Plan"). By subscribing, you agree to pay all applicable fees. Fees are billed monthly or annually in advance, are non-refundable except as required by law, and are subject to change with 30 days' notice.

If a payment fails, we will notify you by email and attempt to collect payment again within 7 days. Failure to resolve payment may result in suspension of your account until payment is received.

7. API Terms

If you access ZETRAX through our API, these Terms also apply to your API usage. Additionally:

• You must keep your API key confidential and not share it publicly
• You are responsible for all API calls made using your key
• We reserve the right to impose rate limits to ensure fair access for all users
• API access for commercial applications requires a Pro or Enterprise subscription

8. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review it carefully to understand our data practices.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. ZETRAX DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

Generated prompts are provided for creative assistance only. ZETRAX makes no representations about the suitability or accuracy of generated content for any specific use case or AI model.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ZETRAX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE.

IN NO EVENT WILL ZETRAX'S AGGREGATE LIABILITY EXCEED THE GREATER OF (A) $100 USD OR (B) THE AMOUNT YOU PAID TO ZETRAX IN THE TWELVE MONTHS PRECEDING THE CLAIM.

11. Termination

Either party may terminate this agreement at any time. You may cancel your account from your account settings. We may suspend or terminate your account immediately, without prior notice, if you violate these Terms, engage in fraudulent activity, or if required by law.

Upon termination, your right to use the Service will immediately cease. Sections 5 (IP), 9 (Disclaimers), 10 (Liability), and 12 (Governing Law) survive termination.

12. Governing Law & Disputes

These Terms are governed by the laws of the State of California, without regard to its conflict of law provisions. Any dispute arising from these Terms shall be resolved by binding arbitration in San Francisco, California, under the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.
